Welcome to Barter It Inc. ("Barter It," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Barter It web application, platform, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

The Service

Barter It provides a webapp member-based subscription service that facilitates a bartering network where members can exchange goods and services using a point system known as BITS™. 

Our platform allows members to create offers, request goods and services, communicate with each other, and process transactions. In addition there is a business directory of businesses that adhere to the values of the business pledge. 

The business directory is for purchases using Canadian dollars, not BITS™.

Membership

2.1. Eligibility: You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you are of legal age.

2.2. Account Types & Fees: Fees are subject to change with 30 days' notice to all active members. All subscription fees are non-refundable.

  • Business Accounts: The current monthly subscription fee is $15.00 CAD, plus any applicable taxes.

  • Personal Accounts: The current monthly subscription fee is $5.00 CAD, including all applicable taxes. 

2.3. Account Registration: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account.

Username and Account Representation

Your choice of username is a reflection of you within the Barter It community. To ensure a safe, clear, and lawful environment for all members, you agree to adhere to the following rules regarding your username and account representation.

3.1. Prohibition of Official Impersonation: You may not register a username that could mislead or confuse other members into believing you are an official representative, employee, or agent of Barter It Inc. or its affiliates, including True North Funding Ltd. This includes, but is not limited to, usernames that contain: Barter_It, BarterIt, True_North_Funding, TNF or any derivative or variation that implies official status, such as BarterItAdmin, BarterItSupport, or TrueNorthHelpdesk. We reserve the exclusive right to use these names and their derivatives for official purposes.

3.2. General Prohibition on Impersonation and Trademark Infringement: While you are free to use a username that provides a degree of anonymity, your username must not infringe upon the rights of any third party or be used to create a false identity. You are expressly prohibited from:

a) Impersonation: Selecting a username that impersonates another person, company, or entity. You may not create the false or misleading impression that you are representing or are affiliated with an individual, company, or other entity that you do not legally represent.

Example: A username such as @morganwallenfan is acceptable. However, you may not use the username @morganwallen unless you are, in fact, the individual Morgan Wallen or his authorized legal representative.

b) Trademark Infringement: Selecting a username that infringes upon any registered trademark, service mark, or other intellectual property right of a third party.

3.3. Enforcement: Barter It Inc. reserves the right, in our sole discretion, to review all usernames. If we determine that a username violates these terms or is otherwise deemed inappropriate, offensive, or misleading, we may require you to change the username, suspend your account until a change is made, or permanently terminate your account without notice.

BITS™ Points

4.1. Nature of BITS™: BITS™ are used to track the value of bartered goods and services between members. While BITS™ should be accounted for as one (1) BITS™ is equivalent to one (1) Canadian Dollar, the ultimate value of BITS™ is limited by the goods and services that members are willing to offer in exchange.

4.2. Acquiring BITS™: Members can acquire BITS™ in the following ways:

  • Purchase: BITS™ can be purchased for Canadian dollars from True North Funding Ltd., the designated entity managing the points system.

  • Referrals: Members can earn BITS™ by inviting new users to the platform. Currently, 25 BITS™ are awarded after the referred member has maintained an active account for three (3) consecutive months. The referred member also receives 25 BITS™. This referral program may be changed or discontinued at our discretion.

  • Earning: Members earn BITS™ by providing goods or services to other members of the network.

  • Gifting: Members may gift or transfer BITS™ to other members within the platform.

4.3. No Cash Value: BITS™ are not legal tender, securities, or cryptocurrency. They cannot be redeemed, exchanged, or converted back into cash from Barter It Inc., True North Funding Ltd., or any other member. Their use is strictly limited to transactions within the Barter It web-app.

User Code of Conduct

All members are expected to conduct themselves in a professional and respectful manner. By using the Service, you agree to the following:

  • You will provide accurate and honest descriptions of all goods and services offered.

  • You will honor all agreed-upon transactions with other members.

  • You will communicate with other members respectfully and professionally. Harassment, abuse, or discriminatory language will not be tolerated.

  • You will not engage in any fraudulent, illegal, or unethical activities.

  • Business Pledge: Business members are expected to adhere to the business pledge that can be found at barterit.ca/business-pledge. Any business found to be in breach of this standard, as determined by Barter It in its sole discretion, may have their account deactivated.

Prohibited Content and Activities

You agree not to post, upload, publish, submit, or transmit any content that:

  • Is fraudulent, false, misleading, or deceptive.

  • Is defamatory, obscene, pornographic, vulgar, or offensive.

  • Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.

  • Is violent or threatening or promotes violence or actions that are threatening to any other person.

  • Promotes illegal or harmful activities or substances. 

Furthermore, you agree not to engage in:

  • Spam: Sending unsolicited advertising or promotional materials to other members.

  • Any activity that interferes with or disrupts the Service or the servers and networks connected to the Service.

Our Right To Manage Content

We reserve the right, at our sole discretion and without notice, to remove any content, including but not limited to offers, directory listings, reviews, and messages, that we deem to be in violation of these Terms or otherwise objectionable. We are not obligated to monitor content but may do so at our discretion.

User Content and Intellectual Property Rights

8.1. User Content License: By posting, uploading, publishing, submitting, or transmitting any content (including but not limited to product descriptions, photos, business logos, and reviews) on or through the Service, you grant Barter It Inc. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any form, media, or technology. This license is granted for the purposes of operating, promoting, and improving the Service. You represent and warrant that you have all rights, power, and authority necessary to grant the rights granted herein to any content that you submit.

8.2. Barter It's Intellectual Property: The Service and its original content, features, and functionality are and will remain the exclusive property of Barter It Inc., its licensors, and affiliates (including True North Funding Ltd.). The name "Barter It," the Barter It logo, the BITS™ system, and any other trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of Barter It Inc. They may not be copied, imitated, or used, in whole or in part, without the prior written permission of Barter It Inc.

Privacy

Your use of the Service is also governed by our Privacy Policy, which is located at https://www.barterit.ca/privacy-policy. Our Privacy Policy describes how we collect, use, and disclose your personal information. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

Transactions Between Members

10.1. Process: Transactions are initiated when a seller sends a payment request to a buyer using the buyer's unique Wallet ID. The buyer must then approve the request to transfer the agreed-upon amount of BITS™.

10.2. Off-Platform Agreements: Members are free to negotiate deals that involve a combination of BITS™, direct barter, or cash payments.

10.3. Disclaimer on Quality and Legality: Barter It Inc. does not guarantee the quality, safety, or legality of items or services offered. We are not responsible for the accuracy of any user's description, the quality or condition of goods, or the performance of services. You agree that any transaction you engage in is at your sole risk and that you have no recourse against us for any alleged or actual infringement or misappropriation of any proprietary rights in the content you submit.

10.4. Disputes: Barter It Inc. is not a party to any transaction or agreement between members regardless of whether a transaction is consummated on the system or outside the system. Any disputes arising from a transaction must be resolved directly between the buyer and the seller. We provide a review and rating system to help members make informed decisions.

Taxes

11.1. Taxable Transactions: You acknowledge that bartering may be subject to taxation depending on the nature of the underlying transaction.

11.2. Member Responsibility: You are solely responsible for determining your applicable tax reporting requirements and for collecting, reporting, and remitting all applicable taxes (including, but not limited to, GST/HST, provincial sales taxes, and income taxes) to the appropriate tax authorities on transactions consummated through the system, regardless of whether BITS™ were utilized as payment.

11.3. Barter It Inc.'s Role: Barter It Inc. does not provide tax advice and is not responsible for collecting, reporting, or remitting any taxes arising from any transaction you conduct on the Service. We encourage you to consult with a qualified tax professional for advice on your specific tax situation.

Reviews and Communication

The platform includes features for members to leave reviews for one another and to communicate directly. All communications and reviews must adhere to the User Code of Conduct and Prohibited Content policies. We reserve the right, but not the obligation, to monitor and remove any content that violates these Terms.

Account Termination

13.1. Termination by Barter It Inc.: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms. If we determine you are a "bad operator" or have acted in bad faith, we may unilaterally close your account.

13.2. Disposition of BITS™ upon Termination: If your account is terminated by us, you will have the option to designate another active member to whom you wish to transfer your remaining BITS™ balance. If you do not provide this information, or if we cannot reasonably facilitate the transfer, your account will be closed, and your BITS™ balance will be held. You may contact us at a later date to arrange for the transfer of these BITS™ to another member.

13.3. Termination by You: You may cancel your account at any time. Upon cancellation, your subscription will remain active until the end of the current billing period.

Communications

By creating an account, you consent to receive electronic communications from Barter It Inc., including but not limited to emails, SMS messages, and in-app notifications, regarding your account, transactions, and promotional materials. You can opt out of certain communications by adjusting your account settings or by following the unsubscribe link in our emails.

Third-Party Links and Services

The Service allows members to post links to third-party websites or services in their profiles, business directory listings, offers, and through the chat function. Barter It Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. 

Additionally, Barter It Inc. may use third-party services, such as payment processors and hosting providers, to operate the Service. You acknowledge and agree that Barter It Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance on, any such content, goods, or services available on or through any such websites or services. Your interactions with any third-party links and services are solely at your own risk. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Disclaimers and Limitation of Liability

16.1. No Fiduciary Duty: You acknowledge and agree that Barter It Inc. is a neutral platform and acts solely as a facilitator. We have no fiduciary duty to any member. We do not act as an advisor, agent, or representative in any transaction.

16.2. Disclaimer: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Barter It Inc. makes no warranties, express or implied, regarding the operation of the Service or the information, content, or materials included therein. You expressly agree that your use of the Service is at your sole risk.

16.3. Limitation of Liability: To the fullest extent permitted by applicable law, Barter It Inc., its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) unauthorized access, use, or alteration of your transmissions or content; (d) any losses or damages incurred due to the unavailability of the Service, including but not limited to system downtime, maintenance, or technical failures.

16.4. Force Majeure: Barter It Inc. shall not be liable for any failure or delay in performance under these Terms due to a Force Majeure Event, including but not limited to acts of God, war, riot, fire, explosion, accident, flood, sabotage, or any other cause beyond our reasonable control.

Indemnification

You agree to indemnify and hold harmless Barter It Inc., True North Funding Ltd., and their respective officers, directors, employees, and agents from and against any and all claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with: (a) your breach of these Terms; (b) your content, including any claims of infringement, defamation, or violation of rights of a third party; (c) any activity that occurs under your account, including any unauthorized access resulting from your failure to safeguard your account credentials; and (d) your interaction or transactions with any other member.

General Provisions

18.1. Governing Law: These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

18.2. Entire Agreement: These Terms, along with any documents referenced herein (including the Privacy Policy), constitute the entire and exclusive understanding and agreement between Barter It Inc. and you regarding the Service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between you and Barter It Inc.

18.3. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.

18.4. Governing Language: The official language of these Terms is English. Any translations provided are for convenience only, and the English version shall prevail in the event of any conflict or inconsistency.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
